Brilliance Auto Group: the group, its brands and who controls it

Brilliance was built in Shenyang from 1992 by Yang Rong, who listed the business on the New York Stock Exchange that year — the first mainland Chinese company to float there — and added a Hong Kong listing in 1999. In 2002 the Liaoning provincial government seized his stake and issued a warrant against him; he left China in July 2002 and has lived in the United States since. The group has been provincially state-owned ever since, 80% by the Liaoning government's state-asset arm and 20% by the Liaoning Social Security Fund.

Almost all of the group's profit came from one place: BMW Brilliance, the Shenyang joint venture that builds BMW cars for the Chinese market. Its own-brand cars, sold as Zhonghua (中华, 'China'), lost money for years. BMW had announced in 2018 that it would raise its share of the venture from 50% to 75%, and the change took effect on 11 February 2022, at which point BMW consolidated the venture into its own accounts.

In November 2020 the holding company defaulted on more than RMB 6.5bn of bonds and the Shenyang Intermediate People's Court accepted a creditors' reorganisation application. The reorganisation covered the group's own-brand business, not the listed subsidiaries or the BMW venture. BMW bought the own-brand manufacturing unit out of the process, and in June 2023 Shenyang Automobile Co., Ltd. was identified as the reorganisation investor — a step that would move control from the province to the city.

What is left is largely a holding structure. Brilliance China Automotive Holdings (SEHK 1114) exists mainly to hold the 25% of BMW Brilliance that BMW does not own; Shenyang Jinbei Automotive (SSE 600609) is separately listed. Neither the group nor its subsidiaries sells a Brilliance-badged car today, so this record carries no active brand.
